Section-A

1. Define the term company. What are the characteristics of a company?

2. What is a Memorandum of Association of a company? What are its various clauses? How can they be altered?

3. Define the term "minimum subscription". What are the consequences if a company is not able to raise minimum subscription?

4. What are the kinds of share capital? Can a company reduce its share capital? If it is so, what is the procedure to be followed?

5. Distinguish between:-

(i) Share certificate and share warrant
(ii) Surrender of shares and forfeiture of shares.

6. Discuss the provisions of the Companies Act relating to the qualifications, appointment and retirement of directors of a public company.

7. What is meant by quorum? What are the statutory provisions relating to quorum for different kinds of meetings? Is it necessary that quorum should be present throughout the meeting?

8. State whether the following statements are true or false:

(a) A company may be wound up by court if it does not commence its business within two years of its incorporation.

(b) A company cannot be ordered to be wound up by the court if it is unable to pay its debts.

(c) A public company may be wound up by the court if at any time its number of members falls below five.

(d) In the event of winding up of a company, a past member is never liable to contribute.

(e) A company is a person without hands, feet and eyes.

9. What is the status of a company secretary? What are his qualifications? Can a minor be appointed as company secretary?

10. Writs notes on any two of the following:

(a) Managing director

(b) Statutory Report

(c) Contributory

(d) Articles of Association.
